1. Agreement to Terms

Welcome to SMALT AI. By accessing or using our platform at smaltai.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and SMALT AI ("Company," "we," "us," or "our").

2. Description of Service

SMALT AI provides an AI-powered research and analysis platform that includes:

• AI chat and research assistance powered by large language models
• Document generation (Word, Excel, PDF)
• Financial data retrieval and analysis tools
• Web search and data extraction capabilities
• Business contact discovery features
• Travel and location search functionality
• Google Workspace integration (Drive, Sheets, Docs)
• Email integration (Gmail, Microsoft Outlook) for sending emails on your behalf
• Coding and development assistance
• Job search and career research capabilities

3. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payments

4.1 Free and Paid Plans

We offer both free and paid subscription plans. Free accounts receive a limited allocation of credits. Paid plans provide additional credits and features as described on our pricing page.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Credits

Credits are consumed when you use AI features of the Service. Credit usage varies based on the complexity of requests. Unused credits do not roll over to subsequent billing periods for subscription plans.

4.4 Refunds

Subscription fees are generally non-refundable. However, we may consider refund requests on a case-by-case basis within 14 days of purchase for unused service periods.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Generate, store, or transmit illegal, harmful, or offensive content
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Use the Service for competitive intelligence against SMALT AI
• Circumvent usage limits or credit restrictions

6. Financial Disclaimer

By using our Service, you acknowledge and agree that:

• AI-generated analysis and outputs should not be relied upon as the sole basis for any financial or investment decision
• Financial data retrieved through the Service may be delayed, incomplete, or inaccurate
• You are solely responsible for verifying any information before acting upon it
• Past performance data does not guarantee future results
• You should consult qualified professionals for specific financial, legal, or tax advice
• We are not a registered investment adviser, broker-dealer, or financial planner
• Any financial models, projections, or analyses are hypothetical and may not reflect actual outcomes

SMALT AI expressly disclaims any liability for losses or damages arising from reliance on information provided through the Service.

7. Intellectual Property

7.1 Our Property

The Service, including its design, features, content, and technology, is owned by SMALT AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of content you input into the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

7.3 Generated Content

Documents, analysis, and other content generated by the AI are provided for your use. However, AI outputs may not be unique and similar outputs may be generated for other users.

8. Third-Party Services and Data

The Service integrates with various third-party services and data providers. Your use of these integrations is subject to their respective terms and policies:

• Financial Data: Provided by OpenBB and other financial data providers
• Business Contact Data: Provided by Apollo.io for professional contact discovery
• Payment Processing: Handled by Stripe
• Authentication: Google OAuth for social login
• AI Services: Anthropic (Claude) and Google (Gemini) for AI capabilities
• Web Research: Firecrawl for web scraping and data extraction

We are not responsible for the accuracy, availability, or policies of third-party services.

9. Google Workspace Integration

SMALT AI integrates with Google Workspace services to enhance your productivity. By connecting your Google account, you authorize us to access certain Google services on your behalf.

9.1 Google Services Accessed

When you connect your Google account, we may access:

• Google Drive: Create, read, and manage files in your Drive
• Google Sheets: Create and edit spreadsheets for data analysis
• Google Docs: Create and edit documents for reports
• Google Account Profile: Basic profile information for authentication

9.2 Your Responsibilities

When using Google integration features, you agree to:

• Only request access to files you own or have permission to access
• Not use the Service to violate Google's Terms of Service
• Not use automated features to spam or abuse Google services
• Ensure any data you process through our Service complies with applicable laws

9.3 Data Handling

9.4 Revoking Access

You may disconnect your Google account at any time by:

• Visiting Google Account Permissions and removing SMALT AI
• Contacting us at support@smaltai.com

Revoking access will immediately stop our ability to access your Google data. Previously created files will remain in your Google Drive.

10. Email Integration (Gmail & Microsoft Outlook)

SMALT AI integrates with email services to help you compose and send professional emails. By connecting your email account, you authorize us to send emails on your behalf.

10.1 Email Services Accessed

When you connect your email account, we integrate with:

• Gmail: Send emails through your Gmail account
• Microsoft Outlook: Send emails through your Outlook account

10.2 What We Can Do

Our email integration is limited to:

• Composing draft emails based on your instructions
• Sending emails that you explicitly review and approve

10.3 Your Explicit Approval Required

10.4 Your Responsibilities

When using email integration features, you agree to:

• Review all email content before approving it to be sent
• Not use the Service to send spam, phishing, or unsolicited commercial emails
• Not use the Service to harass, threaten, or harm others
• Comply with all applicable laws including CAN-SPAM, GDPR, and similar regulations
• Accept full responsibility for emails sent through your connected account

10.5 Email Data Handling

We handle your email integration with privacy as a priority:

• We do not read or access your existing emails
• Email content you compose is processed only to send the email
• We store OAuth tokens securely to maintain your connection
• Email activity may be logged for your reference and support purposes

10.6 Revoking Email Access

You may disconnect your email account at any time by:

• Visiting the Connections page in SMALT AI settings
• For Gmail: Visit Google Account Permissions and remove SMALT AI
• For Outlook: Visit Microsoft Privacy Settings and remove SMALT AI
• Contacting us at support@smaltai.com

Revoking access will immediately stop our ability to send emails through your account.

11. Limitation of Liability

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• AI outputs will be accurate, complete, or suitable for any purpose
• Financial data will be timely or accurate
• The Service will meet your specific requirements

13. Indemnification

You agree to indemnify and hold harmless SMALT AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Service will immediately cease
• You will not be entitled to refunds for unused credits or subscription periods
• We may delete your data in accordance with our Privacy Policy

You may cancel your account at any time through the Service settings or by contacting support.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SMALT AI operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
